Terms of Use

Last updated: March 2026 — These terms govern the use of the Synklio plugin exclusively

1. Purpose & Scope

These Terms of Use ("Terms") govern access to and use of the Synklio WooCommerce plugin ("the Plugin"), a software-as-a-service product published by E-WATTS SARL.

Important: These Terms apply exclusively to the Synklio software product. They are entirely separate from any terms applicable to E-WATTS' e-commerce activity (sale of spare parts). E-WATTS' liability in connection with Synklio is strictly limited to the software service described herein.

By installing or using the Plugin, you ("the User") agree to be bound by these Terms in full.

2. Description of the Service

Synklio is a WooCommerce plugin that provides:

• Automated stock replenishment recommendations based on sales velocity
• Supplier order management and tracking
• Purchase order monitoring (ordered, shipped, received)
• Inventory analytics and reporting

The Plugin is delivered as a ZIP file installed on the User's own WordPress/WooCommerce environment. E-WATTS does not host or operate the User's WooCommerce store.

3. License

Subject to payment of the applicable subscription fee, E-WATTS grants the User a personal, non-exclusive, non-transferable license to use the Plugin on a single WooCommerce installation.

The User may not:

• Redistribute, resell, sublicense, or share the Plugin or license key
• Decompile, reverse-engineer, or modify the Plugin's source code
• Use the Plugin on more installations than covered by their subscription

4. Access & Activation

Access to Plugin updates and support is conditioned on holding an active subscription. License activation is managed via Lemon Squeezy, our payment and licensing provider. The User is responsible for keeping their license key confidential.

5. User Obligations

The User agrees to:

• Use the Plugin in compliance with applicable law
• Maintain their WordPress/WooCommerce environment in a condition compatible with the Plugin's requirements
• Not use the Plugin for any purpose that could damage, disable, or impair E-WATTS' infrastructure
• Keep their account credentials and license key secure

6. Availability & Updates

E-WATTS endeavors to make updates available on a regular basis. However, E-WATTS does not guarantee uninterrupted availability of updates or the update server. Planned or emergency maintenance may temporarily interrupt the update service.

Updates are provided as improvements and bug fixes. E-WATTS reserves the right to modify Plugin features without prior notice.

7. Limitation of Liability

The Plugin is provided as a decision-support tool. E-WATTS cannot be held liable for:

• Purchasing decisions made based on Plugin recommendations
• Data loss resulting from incompatibility with third-party plugins or hosting environments
• Indirect damages including loss of revenue, loss of data, or business interruption
• Failures resulting from incorrect configuration by the User

In all cases, E-WATTS' total liability is limited to the amount paid by the User for their current subscription period.

8. Termination

The User may cancel their subscription at any time through their Lemon Squeezy customer portal. The Plugin will continue to function after cancellation but will no longer receive updates.

E-WATTS reserves the right to terminate a license in case of breach of these Terms, without refund.

9. Governing Law

These Terms are governed by French law. Any dispute shall be subject to the exclusive jurisdiction of the courts of Nantes, France, notwithstanding any applicable consumer protection rules.
